Terms of Service

These Terms govern your access to and use of the platform, website, mobile applications, APIs, and related services (collectively, the “Service”) operated by HireEngineers.AI (“we,” “our,” or “us”), a company organized and existing under the laws of the Commonwealth of Virginia.

By accessing or using the Service, you (“User,” “you,” or “your”) represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

Users of the Service fall into two primary categories: (a) professionals seeking employment opportunities (“Jobseekers”) and (b) employers and facilities posting job opportunities (“Employers”). Certain provisions of these Terms apply to one category but not the other, and are identified as such.

To use the Service, you must:

• be at least 18 years of age (or the age of majority in your jurisdiction, if higher);
• have the legal capacity to enter into a binding contract;
• not be barred from using the Service under applicable law; and
• if registering as a Jobseeker, hold or be actively pursuing the professional licenses or credentials represented in your profile.

The Service is not directed to, and may not be used by, individuals under 18 years of age. We do not knowingly collect information from minors. If we discover that a minor has registered, we will terminate their account and delete their information promptly.

To access most features of the Service, you must create an account. When registering, you agree to:

• provide accurate, current, and complete information;
• maintain and promptly update your account information to keep it accurate and complete;
• select a strong, unique password and keep it confidential;
• not share your credentials with any other person or allow multiple users to access the Service through a single account; and
• notify us immediately at support@hireengineers.ai if you suspect any unauthorized access to or use of your account.

You are responsible for all activity that occurs under your account, whether or not authorized by you. HireEngineers.AI will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

We reserve the right to disable any account, username, or password at any time if, in our reasonable judgment, you have violated any provision of these Terms.

4.1 Marketplace, Not an Employment Agency

HireEngineers.AI is a technology marketplace that connects Jobseekers and Employers. We are not an employment agency, staffing agency, or recruiter. We do not employ Jobseekers and are not a party to any employment, staffing, or engagement agreement between a Jobseeker and an Employer.

HireEngineers.AI makes no representations, warranties, or guarantees as to: (a) the qualifications, licenses, or credentials of any Jobseeker; (b) the accuracy or completeness of any job posting; (c) the suitability of any Jobseeker for any position; (d) the ability of any Employer to offer employment; or (e) the outcome of any recruitment process conducted through the Service.

4.2 Service Availability

We endeavor to make the Service available 24 hours per day, 7 days per week, but do not guarantee uninterrupted availability. We may suspend or restrict access to the Service for maintenance, security, or operational reasons. We will use commercially reasonable efforts to provide advance notice of planned downtime where practicable. HireEngineers.AI is not liable for any losses arising from interruptions or unavailability of the Service.

The Service uses artificial intelligence and machine learning algorithms to match Jobseekers with job opportunities and to surface candidate recommendations to Employers. The following apply:

• AI matching is a decision-support tool, not a final hiring decision. All hiring decisions remain the sole responsibility of the Employer.
• AI match scores and rankings are probabilistic and may not reflect all relevant factors. You should independently evaluate all candidates or opportunities presented.
• HireEngineers.AI does not use AI matching in a manner intended to facilitate unlawful discrimination based on race, color, sex, religion, national origin, age, disability, or any other protected characteristic. If you believe a matching result reflects unlawful bias, please report it to support@hireengineers.ai.
• Where required by law (e.g., New York City Local Law 144 on automated employment decision tools), we conduct or facilitate bias audits of our matching models and will provide required disclosures.

6.1 Our Intellectual Property

The Service, including its software, code, design, text, graphics, logos, trademarks, and “look and feel,” is owned by HireEngineers.AI or its licensors and is protected by U.S. and international copyright, trademark, trade secret, and other intellectual property laws. These Terms grant you no ownership rights in the Service.

We grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for its intended purposes and in accordance with these Terms. This license terminates automatically upon any violation of these Terms.

6.2 Restrictions

You may not, without our prior written consent:

• copy, reproduce, distribute, modify, or create derivative works of any part of the Service;
• reverse engineer, decompile, or disassemble any software component of the Service;
• use any robot, spider, scraper, crawler, or other automated means to access, extract, or index the Service or its data;
• use any content from the Service to create, train, fine-tune, or improve any artificial intelligence or machine learning model, dataset, or system (including through third-party intermediaries);
• frame or mirror any portion of the Service on any other site or platform; or
• remove, alter, or obscure any copyright, trademark, or other proprietary notice.

6.3 DMCA Copyright Policy

HireEngineers.AI respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. §512. If you believe content on the Service infringes your copyright, please send a written notice to our Copyright Agent containing:

• an electronic or physical signature of the copyright owner or authorized agent;
• identification of the copyrighted work claimed to have been infringed;
• identification of the allegedly infringing material and its location on the Service (URLs or other specific information);
• your contact information (name, address, telephone number, and email address);
• a statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
• a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on its behalf.

Counter-notices may be submitted in accordance with DMCA Section 512(g). Be aware that knowingly submitting a false DMCA notice or counter-notice may expose you to liability.

Your use of the Service is subject to our Privacy Policy, available at https://hireengineers.ai/privacy-policy, which is incorporated into these Terms by reference. To the extent of any conflict between these Terms and the Privacy Policy on matters relating to personal information, the Privacy Policy governs.

If you are an Employer and access or use personal information of Jobseekers through the Service, you agree to: (a) use that information solely for the employment-related purposes permitted by these Terms; (b) comply with all applicable privacy and data protection laws, including the FCRA, state privacy laws, and applicable equal employment opportunity laws; and (c) not sell, rent, or disclose Jobseeker personal information to any third party without the Jobseeker’s consent.

Certain features of the Service require payment of fees (“Paid Features”). By purchasing a Paid Feature, you agree to pay all applicable fees at the rates in effect at the time of purchase.

• Billing: Fees are billed in advance on a subscription or per-use basis, as applicable, through our payment processor (Square). All fees are in U.S. dollars.
• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will notify you by email at least seven (7) days before renewal.
• Cancellation: You may cancel a subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; no partial-period refunds are issued unless required by applicable law.
• Refunds: All fees are non-refundable except as expressly stated in our Refund Policy or as required by applicable law (e.g., California Business & Professions Code §17601 for auto-renewal subscriptions).
• Price Changes: We may change fees upon at least thirty (30) days’ prior written notice. Continued use of Paid Features after a price change constitutes acceptance of the new fees.
• Taxes: You are responsible for all applicable taxes, levies, and duties imposed by taxing authorities. We will collect taxes where required by law.
• Ad Credits and Promotional Credits: Any credits issued by HireEngineers.AI (including Job Ad Credits) are non-transferable, have no cash value, expire as stated at the time of issuance, and may not be combined with other promotions unless otherwise specified.

You agree not to:

• access, tamper with, or use non-public areas of the Service or its underlying infrastructure;
• probe, scan, or test the vulnerability of any HireEngineers.AI system or network without authorization;
• interfere with or disrupt the integrity or performance of the Service or the data contained therein;
• attempt to circumvent any security, rate-limiting, or access-control mechanism;
• use the Service to send unsolicited commercial communications;
• impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• harvest or collect contact information of other users without their express consent;
• use the Service in any manner that violates applicable law, including applicable anti-discrimination laws in the context of employment decisions; or
• assist, encourage, or enable any other person to do any of the above.

Violations of this Section may result in immediate account termination, and we reserve the right to pursue civil and criminal remedies to the fullest extent permitted by law.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY. HIREENGINEERS.AI DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY INFORMATION OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (C) DEFECTS WILL BE CORRECTED; OR (D) THE SERVICE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOUR USE OF THE SERVICE AND RELIANCE ON ANY INFORMATION OR MATERIALS AVAILABLE THROUGH THE SERVICE IS ENTIRELY AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; THE ABOVE EXCLUSIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HIREENGINEERS.AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR RELATED TO: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY CONTENT ON THE SERVICE; (C) UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF HIREENGINEERS.AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL HIREENGINEERS.AI’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO HIREENGINEERS.AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the limitation or exclusion of certain liabilities. To the extent that applicable law prohibits the exclusion or limitation of liability as stated above, those limitations shall apply to the minimum extent required to make these Terms enforceable under applicable law.

You agree to indemnify, defend, and hold harmless HireEngineers.AI, its affiliates, officers, directors, employees, contractors, agents, licensors, and representatives (“Indemnified Parties”) from and against any and all third-party claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• your breach of any provision of these Terms or the Privacy Policy;
• any User Content you submit, post, or transmit through the Service;
• your violation of any applicable law, rule, or regulation (including applicable employment discrimination laws);
• your violation of any rights of any other person or entity;
• your use or alleged use of the Service; or
• (for Employers) any employment, staffing, or engagement decision made in connection with the Service, including any failure to conduct adequate independent credentialing or background screening.

HireEngineers.AI reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with HireEngineers.AI’s defense of any such claim. You may not settle any claim without HireEngineers.AI’s prior written consent.

13.1 Informal Resolution

Before initiating any formal dispute proceeding, you agree to contact us at support@hireengineers.ai to describe the nature of the dispute and the relief sought, and to attempt in good faith to resolve the dispute informally for at least thirty (30) days.

13.2 Binding Arbitration

If informal resolution fails, you and HireEngineers.AI agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including the validity, scope, or enforceability of this arbitration agreement) exclusively through binding individual arbitration, rather than in court, except as set forth in Section 15.4.

Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (for individual users) or Commercial Arbitration Rules (for Employer accounts), as applicable, which are available at www.adr.org. The arbitration shall be conducted in the English language. The seat of arbitration shall be Fairfax, Virginia, though hearings may be conducted remotely upon request.

The arbitrator has authority to grant any relief that a court could grant, subject to the limitations in these Terms. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND HIREENGINEERS.AI EACH AGREE THAT ANY CLAIMS AGAINST THE OTHER MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

If this class action waiver is found unenforceable as to a particular claim, that claim shall be severed and litigated in court (subject to Section 15.4), while all remaining claims shall proceed in arbitration.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek relief in court for: (a) claims for injunctive or other equitable relief to prevent misuse of intellectual property or the Service; and (b) individual claims that qualify for small claims court in your jurisdiction.

13.5 Opt-Out

You may opt out of the binding arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to support@hireengineers.ai with the subject line “Arbitration Opt-Out,” including your name, email address, and a statement that you are opting out. If you opt out of arbitration, disputes will be resolved in court as set forth in Section 16.

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. For any disputes not subject to arbitration under Section 15, or where a party has exercised the opt-out right, you and HireEngineers.AI consent to the exclusive jurisdiction of the state and federal courts located in Fairfax County, Virginia, and waive any objection to such jurisdiction or venue.

Notwithstanding the above, HireEngineers.AI may seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property or prevent imminent harm.

15.1 Term

These Terms are effective from the date you first access or use the Service and remain in effect until terminated.

15.2 Termination by You

You may terminate your account at any time by contacting us at support@hireengineers.ai or through your account settings. Termination does not entitle you to any refund of prepaid fees, except as required by applicable law.

15.3 Termination by HireEngineers.AI

HireEngineers.AI may suspend or terminate your account and access to the Service, with or without notice, if: (a) you breach any provision of these Terms; (b) we are required to do so by law or court order; (c) we reasonably believe your account is being used for fraudulent, unlawful, or abusive activity; or (d) we discontinue the Service. Where practicable and not prohibited by law, we will provide notice of termination and the reason therefor.

15.4 Effect of Termination

Upon termination: (a) your license to use the Service immediately ceases; (b) we may delete your account and User Content, subject to our data retention obligations in the Privacy Policy; and (c) provisions of these Terms that by their nature should survive termination (including Sections 5.1, 7, 8, 9, 12, 13, 14, 15, 16, and this Section 17.4) shall survive.

We may update these Terms from time to time. When we make material changes, we will:

• post the revised Terms with an updated “Last Updated” date;
• provide at least thirty (30) days’ advance notice via email to your registered email address and/or a prominent banner on the Service before material changes take effect; and
• obtain your affirmative consent where required by applicable law.

Your continued use of the Service after the effective date of a revised version of these Terms constitutes your acceptance of the changes. If you do not agree with any changes, you must stop using the Service. We will not apply changes retroactively in a manner that materially prejudices rights you have already accrued without your consent.

• Entire Agreement: These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and HireEngineers.AI regarding the Service, and supersede all prior or contemporaneous agreements.
• Severability: If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets, provided we give you prior notice and the acquirer assumes our obligations under these Terms.
• Relationship of the Parties: You and HireEngineers.AI are independent parties. Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship.
• Force Majeure: HireEngineers.AI shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, pandemic, labor disputes, governmental orders, or internet or power outages.
• Export Compliance: You represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties.
• Feedback: If you submit ideas, suggestions, or feedback about the Service (“Feedback”), you grant HireEngineers.AI a perpetual, irrevocable, royalty-free license to use and incorporate that Feedback without any obligation to you.
